Legal Business Affairs Lead at Movement Strategy

Leads agency business affairs by negotiating client, talent, vendor, licensing, IP, and other commercial contracts while managing contracting processes and staff.

Lead Remote Posted 2 days ago RemoteFirstJobs Product
What this role involves

Business Affairs Lead

Position: Full-time

Location: Remote

OVERVIEW

Movement Strategy is looking for a Business Affairs Lead to own our contracting and business affairs function. A law degree is a plus but not required. What matters most is deep agency contracting experience and the judgment to know when something needs outside counsel.

This is an agency role, not a corporate legal seat. You’ll spend your time on the contracts that make our work possible: client MSAs and SOWs, influencer and talent agreements, vendor and technology contracts, NDAs, and licensing and IP matters. You’ll report to the Director of Operations, with a standing direct line to the COO on contractual risk and function strategy.

You’ll personally handle the complex, high-value work while managing and developing a Business Affairs Manager who owns day-to-day contracting volume. Just as important, you’ll set the vision for how business affairs operate at Movement. That means building the playbooks, templates, and cross-team practices that let a lean function protect a growing agency.

We’re looking for someone proactive by default. You flag what’s coming before you’re asked, and you get in front of client teams before content is made rather than after. You treat business affairs as something that enables great work, not something that gates it.

A BIT ABOUT US

Movement Strategy creates content and campaigns for the world’s most exciting brands. We win awards, make headlines, shatter engagement numbers and celebrate the journey along the way. It’s why companies like Netflix, Amazon, Spotify, and Intuit come to us again and again.

We’re fully remote with hubs in New York, Denver, and LA, and a presence all across the US. We believe collaboration is what takes our work from good to great, and at times, even to legendary status. We champion diverse opinions and creativity in every department, and provide professional development and learning opportunities with the goal of helping you discover your best work today, and learn how to make it even better in the future.

RESPONSIBILITIES

  • Contracting and negotiation
    • Own MSA and SOW negotiation with clients end to end, including leading live negotiation with client legal teams as needed.
    • Personally handle complex, high-value, or high-risk agreements.
    • Oversee influencer and talent contracting, delegating volume to the Business Affairs Manager with quality and risk oversight.
    • Manage NDAs, vendor agreements, licensing, stock and IP clearances, and technology contracts.
    • Apply clear escalation criteria to determine when matters require external counsel, and manage those relationships and spend.
  • Business Affairs vision and systems
    • Set and execute the vision for Business Affairs at Movement, including what the function owns, how it scales, and what it needs.
    • Build and maintain the contract review playbook covering NDAs, MSAs, and SOWs. It should define what to scrutinize, our go and no-go positions, where we can concede, and what escalates, including to external counsel.
    • Own contract templates and drive a scheduled review and refresh cycle rather than updating only when a problem surfaces.
    • Own the structure and integrity of the contract library, including naming conventions, organization, and version currency. Ensure documents are stored accurately and consistently at all times.
    • Train the Business Affairs Manager on ongoing library upkeep with regular touchpoints. Retain direct oversight and ultimate responsibility for the library’s accuracy.
    • Identify patterns across the contract portfolio and translate them into template changes and risk mitigation.
  • Compliance and cross-team partnership
    • Build and run a content production and review system with client teams. It should confirm that work meets MSA obligations, usage and licensing terms, FTC guidelines, and platform requirements before it goes out.
    • Walk client teams through their governing MSA and SOW at engagement kickoff. The goal is for obligations, restrictions, usage rights, and approval requirements to be understood up front rather than discovered later.
    • Partner with the VP of Technology to define and maintain our stance on technology stack terms, conditions, and IP practices, including AI tools. Advise teams on usage and risk.
    • Review DPA and data-specific requirements within SOWs and MSAs to ensure alignment across contractual and technical terms, escalating to external counsel as needed.
    • Partner with the Director of Operations to build and implement contract and compliance literacy training across client services teams, Influencer Marketing, New Business, and Finance, so teams can spot issues before they reach us.
  • Leadership and communication
    • Manage and develop the Business Affairs Manager through regular 1:1s, coaching, delegation, and a documented growth plan.
    • Serve as the primary business affairs advisor to leadership on contractual and commercial risk, partnering with external counsel on matters requiring legal advice.
    • Communicate proactively and in writing on volume, capacity, risk, and what is in flight, without being asked.
    • Represent the Business Affairs perspective in cross-functional and strategic planning.

REQUIREMENTS

  • 7+ years in business affairs, contracts management, or legal operations, with significant experience negotiating agency, entertainment, or media agreements. Candidates with a JD or paralegal background are welcome.
  • Meaningful experience in agency, entertainment, media, or brand-side business affairs or legal work. Agency fluency matters more here than pedigree.
  • Demonstrated ownership of MSA and SOW negotiation with sophisticated client counterparties.
  • Working knowledge of influencer and talent contracting, IP and licensing, usage rights, FTC guidelines, and platform requirements.
  • Experience managing external counsel and legal spend.
  • Experience managing or formally mentoring at least one direct report.
  • A track record of building something durable, such as a playbook, a template library, a compliance program, or a process that outlasted you.
  • Comfortable moving fast in a live commercial environment and negotiating on a call rather than only in redlines.

IDEAL QUALITIES

  • JD and active bar admission are a plus.
  • Experience standing up or maturing a business affairs or legal function at a growing agency or company.
  • Familiarity with data privacy and AI tooling considerations relevant to creative production.
  • Exposure to vendor and technology contracting.

Salary & Compensation:

The salary range for this role is $150k - 190k per year. A successful applicant’s actual base salary may vary based upon, but not limited to, skill sets, years of relevant experience, qualifications, and certifications. As culture creators, we firmly believe we have a responsibility to our colleagues, clients, communities, and the industry to live up to the Movement name. We confront inequities head-on as they come, knowing that this work is never done and that we must keep the momentum.

Legal Attorney – Leader of Health Care, Regulatory & Compliance at Henry Meds

Leads healthcare regulatory legal work and builds compliance programs for a multi-state telehealth, pharmacy, and digital health business.

Lead Remote Posted 3 days ago RemoteFirstJobs Product
What this role involves

About Henry Meds: Henry Meds is a direct-to-consumer telehealth company on a mission to create a world where everyone has the health to live fully– regardless of insurance status or plan. As a telehealth organization delivering virtual health care to patients in 40 states and DC through a professional corporation–management services organization (“PC-MSO”) model, clinical care is delivered by physician-owned professional entities, and Henry Meds provides administrative, technology, and business support services under management services agreements.

We’re headquartered in Las Vegas, Nevada, with a largely remote U.S. team. We work under a guiding principle that puts patients first, driven by five values: Integrity Always, Own It, Be Relentless, Stay Curious, and Win Together. We are driven to fulfil our mission and create a great place to work.

Position Overview:

Henry Meds is looking for a resourceful health care regulatory attorney to join our team and help guide the company through the complex, fast-moving intersection of telehealth, pharmacy, and digital health regulation. This is a high-impact, largely autonomous role: you’ll be the go-to regulatory resource for teams across the business, from care operations, medical affairs, pharmacy, to product/engineering, growth, and people, as they build and scale a compliant, multi-state care delivery model. In this role, you will build out Henry Meds’ compliance program while also serving as a trusted legal advisor to the business. Given the company’s current stage, legal and compliance are combined in a single department; as Henry Meds grows, this leader will be responsible for guiding the separation of these functions into distinct legal and compliance roles, consistent with industry guidance and best practices. This role has broad ownership of the health care regulatory function, providing the legal and regulatory expertise.

In this role, you will be the company’s definitive internal authority on healthcare regulatory matters and will be the primary architect of the compliance program’s substance: its policies, training, risk assessment, and monitoring content. The PC-MSO structure is the legal foundation of the business, and its integrity is a daily operating discipline rather than a one-time structuring exercise. With states tightening rules on management company control of clinical entities, and telehealth rules on prescribing, licensure, and consumer health data continuing to shift, we need an attorney who can keep the company both compliant and fast-moving, building guardrails that enable growth.

Subject Matter Knowledge

Depth is expected in structural and clinical regulation (CPOM and fee-splitting, MSA design and fair market value, professional entity governance, state MSO transparency and transaction notice laws, medical board authority, scope of practice, credentialing and peer review, telehealth practice standards, informed consent, and licensure compacts) and in telehealth operations and data (Ryan Haight and DEA prescribing, PDMP and e-prescribing, pharmacy and compounding, HIPAA, 42 C.F.R. Part 2, state consumer health data and privacy laws, FTC Act Section 5, tracking technology, TCPA, and AI governance). We have no current government reimbursement, but working literacy in fraud and abuse — AKS, Stark, EKRA, CMP, False Claims Act, OIG guidance, and exclusion screening, is helpful.

Working Style

We are looking for judgment over recitation, a clear recommendation with a stated risk posture, not a survey of considerations, along with enough business fluency to find the compliant path rather than only identify the non-compliant one, a builder’s instinct for a program that does not yet exist, credibility with clinicians, the backbone to hold the line with senior leadership where the structure or patient safety requires it, and writing that non-lawyers can act on without follow-up.

Duties and Responsibilities:

  • Compliance program. Build and run an effective program aligned with the seven elements and current OIG guidance: policies and SOPs, role-based training, confidential reporting and investigations, risk assessments and an annual work plan, monitoring and auditing licensure, and DEA verification and vendor diligence findings.
  • PC-MSO structure and corporate practice of medicine (CPOM). Own the legal integrity of the structure in every state of operation, including CPOM, fee-splitting, and lay control of clinical decision-making. Draft and re-paper management services agreements, administer the affiliated professional entities, hold the clinical/administrative line, train non-clinical leadership on how to operate and communicate within the structure, and manage state MSO transparency and transaction-notification filings with outside counsel.
  • Regulatory strategy and advisory. Advise product, clinical, growth, engineering, and operations early enough to shape new products, care models, protocols, and pricing rather than block launch. Maintain the state-by-state telehealth matrix, position papers, and risk register, and translate legislative and enforcement developments into prioritized action with owners and deadlines.
  • Clinical workforce. Advise on multi-state licensure strategy and compacts, scope of practice and supervision requirements for advanced practice clinicians, credentialing and peer review, clinician contracting and compensation, and adverse event, board complaint, and NPDB matters.
  • Prescribing and pharmacy. Own Ryan Haight Act and DEA telemedicine prescribing compliance, including readiness for the anticipated special registration framework. Advise on state prescribing rules, pharmacy and 503A/503B compounding relationships, FDA-regulated promotional and software touchpoints, and requirements imposed by LegitScript, payment processors, and advertising platforms.
  • Privacy and data. Serve as Privacy Office function for HIPAA, state consumer health data laws, FTC Act Section 5, and tracking-technology exposure. n the BAA program, breach risk assessments, and OCR reporting, and on PC–MSO data flows, TCPA and CAN-SPAM outreach rules, and AI and clinical algorithm governance.
  • Marketing, fraud, and abuse. Review advertising claims, testimonials, influencer and affiliate arrangements, website terms, consent flows, and auto-renewal compliance against FTC and state law, and structure referral relationships, patient acquisition channels, discount and waiver programs, and clinician and sales compensation to manage fraud and abuse exposure.
  • Contracting and external interactions. Draft and negotiate the healthcare-regulated contract set and support state expansion through go-live sign-off. Serve as primary contact for medical boards, health departments, attorneys general, DEA, and OCR, and manage outside counsel vendor stack

You will likely have:

  • J.D. and active bar membership in good standing in at least one U.S. jurisdiction, with eligibility to serve as in-house counsel in Nevada.
  • 6–8+ years of healthcare regulatory experience at a top healthcare regulatory practice, an AmLaw firm’s healthcare group, or in-house at a provider, digital health, or payer organization.
  • Direct, hands-on experience with PC-MSO / friendly PC structures, building, papering, defending, or operating them, plus command of CPOM and fee-splitting doctrines, telehealth practice and modality rules, multi-state licensure, HIPAA, AKS, and state medical board regulation.
  • Experience advising on or materially contributing to a healthcare compliance program, and a track record of clear, decisive, risk-calibrated guidance for fast-moving commercial teams.

Preferred Qualifications

  • Digital health experience through a period of multi-state expansion;
  • DEA telemedicine prescribing and controlled substance workflows;
  • State MSO oversight, ownership transparency, and transaction notification regimes;
  • Prior service as Chief Compliance Officer or Privacy Officer;
  • Government investigations, board inquiries, or OCR matters.

Company Offers:

  • Platinum PPO Healthcare + Vision & Dental (Henry covers 99% for employees and 50% for their qualified dependents).
  • 401(k) with matching contributions beginning your first day.
  • Impactful, rewarding work as part of a fast-growing brand helping thousands of people every day.
  • Generous PTO plan.
  • Remote with team members based across the U.S., alongside our Las Vegas, NV office; This role is open to remote, hybrid, or in-person in Las Vegas NV, Seattle WA, or Miami

Equal Opportunity Statement:

Henry Meds is committed to building an inclusive, discrimination-free workplace and welcomes applicants from all backgrounds. We consider all qualified applicants for employment without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, or any other status protected by applicable federal, state, or local law. If you need a reasonable accommodation during the application process, please let us know.

Applicants must be authorized to work for ANY employer in the U.S. We cannot sponsor or take over sponsorship of an employment Visa at this time.

What this role involves

Work From Anywhere in LATAM

Work Schedule: Pacific Time | 9 AM – 5 PM PT (8-hour overlap required)

About Pearl Talent

Pearl works with the top 1% of candidates from around the world and connects them with the best startups in the US and EU. Our clients have raised over $5B in aggregate and are backed by companies like OpenAI, a16z, and Founders Fund. They’re looking for the sharpest, hungriest candidates who they can consistently promote and work with over many years. Candidates we’ve hired have been flown out to the US and EU to work with their clients, and even promoted to roles that match folks onshore in the US.

Hear why we exist, what we believe in, and who we’re building for: Watch here

About the Client

A boutique corporate law firm serving startups and technology companies is hiring a Legal Operations Assistant to organize contracts and files, draft initial legal documents, and manage client coordination so founders can focus on higher-level strategy and complex deals.

The firm has grown rapidly through an active presence in the startup ecosystem and runs a lean, collaborative team that works heavily with AI. They’ve built tools and workflows that depend on clean, well-organized legal documents and file systems, and they value initiative, autonomy, and fluent use of generative AI in daily work. The team is small but ambitious, and you would be a core operational partner—not a support role.

About the Role

Day-to-day, you will organize incoming contracts and files from clients and counterparties through multiple channels, draft initial legal templates and correspondence, write substantive client emails on administrative legal matters, manage the founder’s calendar with same-day scheduling requests, and support light financial operations and marketing. Success means the firm’s AI tools always have clean, accessible files; first drafts are ready for attorney review without rework; clients receive professional communication without back-and-forth review cycles; and administrative work no longer pulls the founders away from complex contracts and client relationships.

Core Responsibilities

File and Document Management

  • Organize and file incoming contracts and documents the same day from email, Slack, WhatsApp, and text.
  • Sort and store 10–15 contracts per week plus daily files from clients and counterparties in the firm’s cloud-based system.
  • Maintain file naming conventions and folder structures so AI tools and team members can locate documents without delay.
  • Communicate proactively with the internal team about what was saved, where, and when follow-up is required.

Contract Drafting

  • Draft initial templates and letters for client delivery.
  • Produce first drafts of NDAs, service agreements, equity agreements, and operating agreements using Claude and the firm’s prompting guidelines.
  • Hand completed drafts to the reviewing attorney with clear context on each document’s status and intended use.

Client Communication and Scheduling

  • Write substantive administrative legal emails to clients on topics such as company formation, filings, and deliverable status.
  • Schedule and reschedule meetings, including same-day requests and complex multi-party coordination.
  • Send client deliverables and status updates using AI tools where appropriate.
  • Follow up on client or counterparty requests that remain unaddressed after two or more weeks.

Financial Controls and Timekeeping

  • Collect time entries from attorneys and input them into the firm’s timekeeping platform.
  • Support billing inquiries, coordinate with the bank on transfers and payments, and maintain timekeeping accuracy.

Team Support and Light Marketing

  • Cover the senior colleague’s responsibilities on Thursdays and Fridays.
  • Review and quality-check the work of a junior offshore assistant; provide feedback and guidance.
  • Organize email lists from sponsored events and provide support for LinkedIn, CRM, and light outreach coordination.

Must-Have

  • 3–5+ years of hands-on legal operations, paralegal, or executive assistant experience supporting legal teams in law firms or corporate legal departments
  • Demonstrated experience organizing and managing high-volume contract workflows (10+ contracts per week) in cloud-based file systems such as Dropbox
  • Proven ability to draft or produce initial versions of corporate legal documents (NDAs, service agreements, equity agreements, formation documents, operating agreements) for attorney review
  • Fluency with Claude or similar generative AI tools; ability to write structured prompts for legal research, contract analysis, and document drafting tasks
  • Experience managing client-facing communication on administrative and procedural legal matters with minimal oversight
  • Track record of working autonomously across multiple concurrent workflows without daily supervision; comfort initiating lower-priority work without prompting
  • B2+ CEFR English (professional client-facing communication; ability to draft substantive procedural emails to clients independently)
  • Reliable attendance and dependable internet setup with backup connectivity plan for remote work

Nice-to-Have

  • Background as an executive assistant or Chief of Staff to a CEO or senior legal leader, particularly with exposure to contracts and file management

  • Experience managing or quality-checking a junior colleague’s work, or training team members on operational processes

  • Exposure to legal timekeeping, billing platforms (Clio, TimeSolv), or basic financial controls in law firms or professional services

  • Familiarity with digital marketing, LinkedIn, or CRM tools for light event coordination and outreach

  • Prior experience working in small-firm, boutique, or startup law environments with high autonomy and minimal middle management

  • Competitive Salary: Based on experience and skills

  • Remote Work: Fully remote—work from anywhere

  • Team Incentives: Recognition for maintaining 100% CRM hygiene and on-time reporting

  • Generous PTO: In accordance with company policy

  • Health Coverage for PH-based talents: HMO coverage after 3 months for full-time employees

  • Direct Mentorship: Guidance from international industry experts

  • Learning & Development: Ongoing access to resources for professional growth

  • Global Networking: Connect with professionals worldwide

BACKGROUND AND OPPORTUNITY

There are almost 75 million hourly workers in the United States, representing more than half of the entire workforce. Historically, managing hourly employees has been difficult due to high attrition (average of 60%) and high replacement costs (average of $3,200 per employee in retail). The ongoing labor shortage and competition from the gig economy, make it more difficult to attract and retain hourly employees. The top reasons hourly employees leave their jobs are a lack of schedule empowerment, poor communication with employers, and an inability to get paid early. Gen Z and the millennial workforce demand gig-like flexibility, modern technology, and compelling work options. Legion’s mission is to turn hourly jobs into good jobs, serving the hourly workers who make up the majority of the US workforce. We believe in empowering employees and helping employers be efficient and innovative by enabling intelligent automation powered by Legion’s Workforce Management platform to optimize labor efficiency and enhance the employee experience simultaneously. Legion WFM was built for the cloud with AI at the core and designed to handle the complexity of modern businesses and meet the needs of today’s hourly employees.  Our team is comprised of dedicated individuals from all backgrounds and experiences, globally distributed across all time zones.

Location: Remote (within +/- 2 hours of CET) and ideally in Spain

Contract type: Full-time

Salary: Starting from €35,000 per annum gross, subject to location, skills and experience.

Not Your Typical Workplace:

Tired of the 9-to-5 grind? Imagine a World without borders, where opportunities are endless. That’s the future of work, and what we are building at WorkMotion. Our remote-first team spans across the world, helping companies hire, onboard, and manage talent internationally through smart, flexible workforce solutions. Fast-paced, people-driven, and globally connected — we empower businesses to build teams without borders.

More Than a Role

We don’t just need a Legal Counsel — we need a hands-on legal project manager who partners with our business and solves problems on a daily basis. We’re looking for someone who gets their energy from dealing with employment law matters in many different jurisdictions, while keeping a sharp, analytical focus on how their work delivers real business impact.

This isn’t a role for someone who wants to stay in their lane. You’ll be at the center of it all - dealing directly with many different teams like Operations or Sales - ensuring everything you touch is high-quality and customer-centric and aligned with our wider goals.

You won’t be a solo operator. You’ll collaborate with our internal stakeholders, i.e. all internal departments, and external partners such as local payroll providers and law firms in different countries, bringing everything together to ensure consistency, impact, and momentum across the board.

Where Responsibility Meets Real Opportunity:

Your main responsibilities are:

  • Resolve employment law matters of all sorts in different countries
  • Support our internal units and departments where their knowledge ends
  • Help the organization grow and build new business around the Globe
  • Make sure everything we do stays compliant with local laws

What It Takes to Make an Impact Here:

  • You are a Spanish lawyer, admitted to the bar in Spain
  • Your field of experience and expertise is Spanish employment law
  • You have been working either in a law firm, or in the legal department of a company / startup - in a perfect world both
  • You have around 2-4 years of qualified experience
  • Spanish is your mother tongue. Further, you are fluent in business and legal English, both in writing and speaking
  • You are a sharp lawyer but also a business person, focussed, on point, and always striving for a solution that works in practice.

Bonus Points If You Bring:

  • Knowledge of employment law in other jurisdictions, e.g. Portugal Knowledge of data protection law / GDPR
  • Experience in drafting and negotiating Sales contracts
  • More languages, e.g. Portuguese, French, Italian, German

Not Your Typical Team…

We are a team of three highly talented Legal minds, who are based in Italy and Germany. We’re a team of motivated, and fully distributed crew that proves “remote” doesn’t mean “disconnected.” We don’t just “work” together — we create, challenge, and grow together. If you’re looking for an environment where your ideas are welcomed, your voice is heard, cross-collaboration on bold strategies thrive on collective brainpower and high-energy teamwork you’ll feel right at home.
